Affiliate Programme Terms and Conditions
Version v1-2026-09 · last updated: 08/11/2026
1. Who we are and what this is
These terms govern the Affiliate Programme of Marketing e innovación online CC, SL (hereinafter, "Marinalia"), tax ID B42624429, registered at Avenida l'Alcudia, 33, Benissa (Alicante), owner of the shop marinalia.es.
The Programme allows individuals and companies ("the Affiliate") to promote Marinalia's activities on their website or social media and receive a commission on the bookings they generate. By accepting these terms, ticking the relevant box on the sign-up form, the Affiliate enters into a contract with Marinalia. It creates no employment, partnership or agency relationship: the Affiliate acts on their own account and cannot bind Marinalia towards third parties.
2. Sign-up and approval
Applications are made through the affiliate portal, providing contact details, the channels where the activities will be promoted, and the tax and bank details needed for payment. Marinalia reviews every application and may accept or reject it freely; rejection gives no right to compensation.
Once approved, the Affiliate receives a personal, non-transferable affiliate code and access to their dashboard, with their widgets, links, statistics and settlements. The Affiliate is responsible for safeguarding their code and their access, and must notify Marinalia if they suspect any misuse.
Taking part in the Programme is free and with no minimum term: there are no fees and no sales targets, and the Affiliate may leave at any time.
The Affiliate must be registered as a business or self-employed professional and be able to invoice for their commissions. Private individuals without tax registration cannot take part.
3. How bookings are attributed
- The Affiliate's links and widgets carry their code (
ref=). When a user follows them to marinalia.es, the source of the visit is recorded. - Any booking that user makes within the following 30 calendar days is attributed to the Affiliate.
- If the user passes through several affiliates, the booking goes to the last one whose link was used before booking.
- Only the activities included in the affiliate catalogue earn commission, that is, those that can be booked for a specific date and time. Marinalia may change that catalogue at any time.
- Tracking relies on technologies that require the user's consent and may be affected by their browser settings. Marinalia's records are the valid source for calculating commissions; the Affiliate can consult them in the dashboard and raise any discrepancy within the period set out in section 6.
4. The Affiliate's obligations
The Affiliate undertakes to promote the activities truthfully and fairly and, in particular, not to:
- Send unsolicited commercial communications (spam) or use automated systems to generate traffic or clicks.
- Bid in search engines on the "Marinalia" brand or on variants or misspellings of it, or use it in domain names, profiles or addresses that could cause confusion about who owns them.
- Present themselves as Marinalia, imply that they act on its behalf, or copy its website.
- Promise prices, availability, discounts or conditions other than those published on marinalia.es.
- Use their own code for their own bookings, or those of relatives or their company ("self-referral"), or share the commission with the customer as a hidden discount.
- Publish the content on websites containing illegal, violent, sexual or discriminatory material, or material that infringes third-party rights.
- Modify the widget code or the links beyond what the dashboard allows.
- Generate, or help to generate, artificial traffic: automated, incentivised or simulated clicks or visits, extensions that insert the affiliate code, or any technique that alters attribution.
- Use the Programme's tools to approach customers or activity suppliers commercially on their own account.
- Modify the widgets, banners or links beyond the options offered by the dashboard, or alter Marinalia's logo or brand image.
- Open accounts in someone else's name or transfer their account without Marinalia's written authorisation.
The Affiliate safeguards their login details and is responsible for their use; if they suspect that someone else knows them, they must tell Marinalia immediately so they can be changed. They also undertake to keep their links and widgets published and up to date while they remain in the Programme.
Marinalia may review the Affiliate's websites and profiles to check that the links work and comply with these terms. If something needs correcting, it will be notified by email and the Affiliate will have seven calendar days to fix it; if that period passes without action, the account may be suspended.
Affiliate links must be published marked as sponsored (rel="sponsored" or
rel="nofollow"), in line with search engine guidelines for links that earn compensation. The widgets, banners
and links generated from the dashboard already include this; the Affiliate is responsible for adding it to links they
write themselves.
The Affiliate is solely responsible for the content of their channels, for complying with the rules that apply to them (advertising, data protection, consumer and tax law) and for disclosing the advertising nature of their recommendations where the law requires it.
5. Commission
- The commission is 8 % on all sales, with no volume tiers, unless a different percentage is agreed in writing with a particular Affiliate.
- It is calculated on the amount actually paid by the customer for the activities, VAT included and after any discounts. Booking fees, taxes, deposits, tips and amounts paid directly to the activity supplier do not count.
- No commission is earned on bookings that are cancelled, refunded in full or in part (on the refunded portion), unpaid, duplicated, fraudulent or in breach of section 4. Marinalia may deduct from future settlements any commissions already paid on bookings later cancelled or refunded.
- No commission is earned on gift cards or vouchers (bookings later paid for with them do earn commission, so as not to count it twice), or on charity or non-profit activities.
- The applicable percentage is the one in force on the date of the booking. Marinalia may change it for the future with 30 days notice.
6. Validation, settlement and payment
- Each commission stays "pending" until the activity has taken place. If the booking is still confirmed and paid at that point, the commission becomes "validated".
- Settlement is monthly and covers validated commissions for activities carried out in the previous calendar month.
- The invoice is issued on the 15th of each month and sent together with the breakdown of the bookings included.
- Payment is made within 30 days of the settlement being issued, by bank transfer or PayPal, to the details provided by the Affiliate. Any costs of the chosen payment method are borne by the Affiliate.
- If the monthly amount is below 25 €, it rolls over to later settlements. On leaving the Programme, any validated balance is paid without applying this minimum.
- Payments are made in euros. Marinalia covers the bank transfer fees; any taxes and duties arising from the amounts received are borne by the Affiliate.
- The Affiliate has 7 calendar days from the sending of each invoice to request corrections in writing. After that period, the invoice is deemed accepted.
7. Invoicing and self-billing agreement
Commissions pay for an advertising intermediation service provided by the Affiliate to Marinalia, and must be documented in an invoice issued by the Affiliate.
To simplify the process, and in accordance with article 5 of the Spanish invoicing regulations (Royal Decree 1619/2012), the Affiliate expressly agrees that Marinalia issues the invoices in their name and on their behalf (self-billing), on the following terms:
- Marinalia will issue one invoice per settlement, numbered in a specific series, and send it to the Affiliate together with the booking breakdown.
- The Affiliate is deemed to accept each invoice unless they object in writing within 7 days of it being sent.
- Taxes: affiliates established in mainland Spain or the Balearic Islands will be charged VAT at the standard rate in force (21 % as at this version). For those established in the Canary Islands, Ceuta or Melilla, the invoice is issued without VAT, as they fall outside its scope, and each one bears the taxes applicable in their own territory. For those established in other EU Member States who provide a valid VAT number, the transaction is invoiced without Spanish VAT under the reverse charge mechanism (articles 194 and 196 of Directive 2006/112/EC). In all other cases the applicable regime under the legislation in force will apply.
- Withholding tax: it is the Affiliate who declares, on signing up and whenever their situation changes, whether their activity is subject to Spanish personal income tax withholding and at what rate (usually 15 %, or 7 % during the year they start trading and the two following years). Marinalia will apply the declared rate on the invoice, pay it to the tax authorities and provide the annual withholding certificate. The Affiliate is responsible for the accuracy of that declaration and for the consequences of declaring it incorrectly or of not reporting changes in time.
- The Affiliate warrants that their tax details are correct and undertakes to report any change before the next settlement. They are liable for any loss caused by incorrect or out-of-date details.
- The Affiliate keeps a copy of the invoices issued in their name and complies with their own tax and accounting obligations.
- Either party may revoke this self-billing agreement by notice in writing. Revocation takes effect for later settlements; from then on, the Affiliate must issue their own invoices in order to be paid.
8. Term, termination and suspension
The contract takes effect when Marinalia notifies approval of the application and lasts one year, renewed automatically for equal periods unless either party gives 30 days written notice.
Marinalia may also end the relationship if the Affiliate goes six months without generating any booking, or if their website or profiles contain content that is inappropriate or contrary to these terms.
Once the relationship ends, the Affiliate must remove the widgets, banners and links and stop using Marinalia's brand, logo and materials, as well as any catalogue information (text, photographs, prices or descriptions). Nor may they use the activity suppliers' brands without written permission.
The relationship may also end by mutual agreement. Either party may end it at any time by notice in writing, without cause or notice period. The Affiliate must then remove the widgets and links within a reasonable time.
Marinalia may suspend the account and withhold commissions while investigating a possible breach of section 4 or fraudulent use of the Programme. If the breach is confirmed, the right to the affected commissions is lost. If it is not confirmed, they are paid in the next settlement.
Termination does not affect commissions already validated under section 6.
9. Data protection
The Affiliate's data is processed by Marketing e innovación online CC, SL as controller, in order to manage their participation in the Programme, calculate and pay their commissions and comply with tax and accounting obligations. The legal basis is the performance of this contract and compliance with legal obligations. The data will be kept for the duration of the relationship and, afterwards, for the statutory tax and commercial limitation periods. It may be shared with our accountants, the payment provider and the tax authorities. The Affiliate may exercise their rights of access, rectification, erasure, objection, restriction and portability by writing to info@marinalia.es, and may lodge a complaint with the Spanish Data Protection Agency.
The Affiliate undertakes to comply with the General Data Protection Regulation and, if based in Spain, with Organic Law 3/2018 and the Spanish Data Protection Agency's guidance on cookies, and is responsible for the processing of their own visitors' data.
If the Affiliate embeds widgets or links on their website, they are responsible for informing users in their own cookie and privacy policy about the associated tracking, and for obtaining consent where required.
10. Changes, governing law and jurisdiction
Marinalia may amend these terms. Material changes will be notified to the Affiliate's email address 30 days in advance; if they do not agree, they may leave the Programme before the changes take effect. Continuing to use the Programme after that date means they accept them.
This contract is governed by Spanish law. For any dispute, the parties submit to the Courts of Marinalia's registered address, unless the law imposes a different jurisdiction.
These terms are published in Spanish and in English. In the event of any discrepancy between the two versions, the Spanish version prevails, as it is the one drafted under the applicable law. The English version is provided for information purposes.
